  3. LICENSE STATEMENT 
  4. AND LIMITED WARRANTY
  5.  
  6. IMPORTANT - READ CAREFULLY
  7. This License Statement and Limited Warranty constitutes a legal agreement 
  8. ("License Agreement") between you (either as an individual or a single 
  9. entity) and SoftBase ("SoftBase") for the software product ("Software") 
  10. identified above, including any software, media, and accompanying on-line 
  11. or printed documentation.
  12.  
  13. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE 
  14. BOUND BY ALL OF THE TERMS AND CONDITIONS OF THE LICENSE AGREEMENT.  If you 
  15. are the original purchaser of the Software and you do not agree with the 
  16. terms and conditions of the License Agreement, promptly return the unused 
  17. Software to the place from which you obtained it for a full refund.
  18.  
  19. Upon your acceptance of the terms and conditions of the License Agreement, 
  20. SoftBase grants you the right to use the Software in the manner provided 
  21. below.
  22.  
  23. This Software is owned by SoftBase or its suppliers and is protected by 
  24. copyright law and international copyright treaty.  Therefore, you must 
  25. treat this Software like any other copyrighted material (e.g., a book), 
  26. except that you may either make one copy of the Software solely for backup 
  27. or archival purposes or transfer the Software to a single hard disk 
  28. provided you keep the original solely for backup or archival purposes.  
  29.  
  30. Except as provided in this License Agreement, you may not transfer, rent, 
  31. lease, lend, copy, modify, translate, sublicense, time-share or 
  32. electronically transmit or receive the Software, media or documentation.  
  33. You acknowledge that the Software in source code form remains a 
  34. confidential trade secret of SoftBase or its suppliers and therefore you 
  35. agree not to modify the Software or attempt to decipher, decompile, 
  36. disassemble or reverse engineer the Software, except to the extent 
  37. applicable laws specifically prohibit such restriction. 
  38.  
  39. If you purchased this Software as an upgrade, it constitutes a single 
  40. product together with the product that you upgraded, and may not be used 
  41. to increase the total number of licensed copies of the Software.  You may 
  42. use the upgraded product only in accordance with this License Agreement 
  43. and you may not transfer this Software or the product you upgraded unless 
  44. they are transferred together as a single product. 
  45.  
  46. This Software is subject to German Commerce Department export restrictions, 
  47. and is intended for use in the country into which SoftBase sold it (or is 
  48. intended for use in the EEC, if sold into the EEC). 
  49.  
  50. ADDITIONAL TERMS WHICH APPLY TO PROGRAMS COMPILED WITH THE SOFTWARE 
  51. You may write and compile your own applications using the Software, 
  52. including the SoftBase Software and any libraries and source code 
  53. included with the Software for such purpose, so long as (a) your 
  54. application is a product which operates in conjunction with the Software, 
  55. (b) you do not use SoftBase's name, logo or trademark to market your 
  56. software product, (c) you include SoftBase's copyright notice as part of 
  57. the sign-on message for your software product, (d) you agree to indemnify, 
  58. hold harmless, and defend SoftBase and its suppliers from and against any 
  59. claims or lawsuits, including attorney's fees, that arise out of your use 
  60. or distribution of your application software product, and (e) your program 
  61. is not merely a set or subset of the Software or any libraries or source 
  62. code included with the Software.  
  63.  
  64. ADDITIONAL TERMS WHICH APPLY TO THE EVALUATION PERIOD
  65. If you have obtained permission from SoftBase to evaluate the Software, 
  66. you may install the Software on a temporary basis for evaluation purposes 
  67. only.  During the Evaluation Period, you can write and compile applications 
  68. which use the Software for your own personal, non-commercial use on the 
  69. computers on which you have installed the Software, but you do not have a 
  70. right to distribute or otherwise share those applications or any of the 
  71. files of the Software which may be required to support those applications.
  72.  
  73. THE SOFTWARE CONTAINS A TIME-OUT FEATURE THAT DISABLES ITS OPERATION AFTER 
  74. THE EXPIRATION OF THE EVALUATION PERIOD.  APPLICATIONS THAT YOU CREATE 
  75. DURING THE EVALUATION PERIOD MAY REQUIRE THE SOFTWARE IN ORDER TO RUN.  
  76. UPON EXPIRATION OF THE EVALUATION PERIOD, THOSE APPLICATIONS WILL NO 
  77. LONGER RUN.  YOU SHOULD THEREFORE TAKE PRECAUTIONS TO AVOID ANY LOSS OF 
  78. DATA THAT MIGHT RESULT.
  79.  
  80. DURING THE EVALUATION PERIOD, THE SOFTWARE IS PROVIDED ON AN "AS IS" BASIS 
  81. "WITH ALL FAULTS."  YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND 
  82. PERFORMANCE OF THE SOFTWARE DURING THE EVALUATION PERIOD.  SHOULD THE 
  83. SOFTWARE PROVE DEFECTIVE DURING THE EVALUATION PERIOD, YOU, AND NOT 
  84. SOFTBASE OR ITS SUPPLIERS, ASSUME THE ENTIRE COST OF ALL NECESSARY 
  85. SERVICING AND REPAIR. 
  86.  
  87. LIMITED WARRANTY
  88. SoftBase warrants that the Software, as updated and when properly used, 
  89. will perform substantially in accordance with its accompanying 
  90. documentation, and the Software media will be free from defects in 
  91. materials and workmanship, for a period of ninety (90) days from the date 
  92. of receipt.  Any implied warranties on the Software are limited to ninety 
  93. (90) days.  Some states or jurisdictions do not allow limitations on 
  94. duration of an implied warranty, so the above limitation may not apply to 
  95. you.

  97. SoftBase's and its suppliers' entire liability and your exclusive remedy 
  98. shall be, at SoftBase's option, either (a) return of the price paid, or 
  99. (b) repair or replacement of the Software that does not meet the Limited 
  100. Warranty and which is returned to SoftBase with a copy of your receipt.  
  101. This Limited Warranty is void if Software fails as a result of accident, 
  102. abuse, or misapplication.  Any replacement Software will be warranted for 
  103. the remainder of the original warranty period or thirty (30) days, 
  104. whichever is longer.  
  105.  
  106. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFTBASE AND ITS 
  107. SUPPLIERS DISCLAIM ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, 
  108. INCLUDING, BUT NOT LIMITED TO,  ANY IMPLIED WARRANTIES OF MERCHANTABILITY, 
  109. FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR TITLE, WITH REGARD 
  110. TO THE SOFTWARE AND THE ACCOMPANYING DOCUMENTATION.  THIS LIMITED WARRANTY 
  111. GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE OTHERS, WHICH VARY FROM 
  112. STATE TO STATE OR JURISDICTION TO JURISDICTION.
  113.  
  114. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 
  115. SOFTBASE OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER 
  116. (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, 
  117. BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER 
  118. PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS 
  119. SOFTBASE PRODUCT, EVEN IF SOFTBASE HAS BEEN ADVISED OF THE POSSIBILITY 
  120. OF SUCH DAMAGES. IN ANY CASE, SOFTBASE'S ENTIRE LIABILITY UNDER ANY 
  121. PROVISION OF THIS LICENSE AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE 
  122. AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR US$25. 
  123. Notwithstanding the above, if you have entered into a support agreement 
  124. with SoftBase, SoftBase's entire liability regarding support services 
  125. shall be governed by the terms of that agreement.  Because some states and 
  126. jurisdictions do not allow the exclusion or limitation of liability, the 
  127. above limitations may not apply to you.
  128.  
  129. HIGH RISK ACTIVITIES
  130. The Software is not fault-tolerant and is not designed, manufactured or 
  131. intended for use or resale as on-line control equipment in hazardous 
  132. environments requiring fail-safe performance, such as in the operation of 
  133. nuclear facilities, aircraft navigation or communication systems, air 
  134. traffic control, direct life support machines, or weapons systems, in 
  135. which the failure of the Software could lead directly to death, personal 
  136. injury, or severe physical or environmental damage ("High Risk 
  137. Activities"). SoftBase and its suppliers specifically disclaim any 
  138. express or implied warranty of fitness for High Risk Activities.
  139.  
  140. GENERAL PROVISIONS
  141. This License Agreement may only be modified in writing signed by you and 
  142. an authorized officer of SoftBase.  If any provision of this License 
  143. Agreement is found void or unenforceable, the remainder will remain valid 
  144. and enforceable according to its terms.  If any remedy provided is 
  145. determined to have failed for its essential purpose, all limitations of 
  146. liability and exclusions of damages set forth in the Limited Warranty 
  147. shall remain in effect.
  148.  
  149. This License Agreement shall be construed, interpreted and governed by the 
  150. laws of the Bundesrepublik Deutschland ("Germany").  
  151. This License Agreement gives you specific legal rights; you may have others 
  152. which vary from state to state and from country to country.  SoftBase 
  153. reserves all rights not specifically granted in this License Agreement.
